Terms of Service

Welcome to Studio10 ("Service", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Service Description

Studio10 provides an AI-powered service that generates professional headshot images based on photographs you upload. Our Service transforms your uploaded images into professional-quality headshots suitable for professional profiles, resumes, and social media.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Image Upload and Consent

THIS SECTION IS CRITICAL. PLEASE READ CAREFULLY.

3.1 Your Representations and Warranties

By uploading an image to Studio10, you represent and warrant that:

  • (a) You ARE the individual depicted in the uploaded image; OR
  • (b) You have obtained explicit, informed, written consent from the individual depicted in the image to:
    • Upload their photograph to our Service
    • Have AI-generated images created using their likeness
    • Use the resulting AI-generated images

3.2 Consent Checkbox Acknowledgment

Before any image is processed, you must affirmatively check a consent box confirming:

"I confirm that I am the person in this photo, OR I have obtained explicit consent from the person pictured to create and use AI-generated images of their likeness."

By checking this box, you are making a legally binding attestation. False attestation may expose you to civil and criminal liability.

3.3 Prohibited Image Uploads

You may NOT upload images of:

  • Any person without their explicit consent
  • Minors (individuals under 18 years of age)
  • Deceased individuals (unless you are the legal representative of their estate)
  • Public figures for the purpose of impersonation
  • Images you do not have rights to use
  • Sexually explicit, nude, or otherwise pornographic content — you may not upload such imagery nor request the generation of sexual or nude content through our platform

3.4 Your Sole Responsibility

You are solely and exclusively responsible for:

  • Verifying that you have proper consent before uploading any image
  • Maintaining records of consent where applicable
  • Any claims, damages, or disputes arising from images you upload
  • Ensuring your use of generated images complies with applicable laws

Studio10 has no ability to verify consent and relies entirely on your attestation.

3.5 Photograph Processing

Our Service sends your uploaded photographs to third-party AI systems to generate headshots. We do not extract, compute, or store biometric identifiers, biometric signatures, or facial geometry data. However, the third-party AI systems we use may internally analyze facial features as part of the image generation process.

By checking the consent checkbox and uploading your image, you provide your informed consent to:

  • The transmission of your photograph to third-party AI processing providers for headshot generation
  • The processing of your photograph by these AI systems, which may involve internal analysis of facial features
  • The storage of your uploaded photograph and generated images for the retention periods specified in our Privacy Policy

We do not sell, lease, trade, or otherwise profit from your photographs or any data derived from them. Your photographs are used exclusively to provide the Service.

4. Prohibited Uses

You agree NOT to use the Service to:

  • Create images for the purpose of deceiving others about identity or authenticity
  • Create non-consensual intimate or sexual imagery
  • Harass, defame, intimidate, or harm any individual
  • Impersonate public figures, private individuals, or create "deepfakes"
  • Engage in fraud, identity theft, or other illegal activities
  • Create images for use in scams, catfishing, or deceptive schemes
  • Generate images depicting illegal activities
  • Circumvent, disable, or interfere with security features of the Service
  • Violate any applicable law, regulation, or third-party rights

5. Intellectual Property

5.1 Your Content

You retain ownership of the original photographs you upload. By uploading images, you grant us a limited, non-exclusive license to process your images solely for the purpose of providing the Service.

5.2 Generated Images

Upon completion of a valid paid transaction, you receive a license to use the AI-generated images for personal and commercial purposes, subject to these Terms. This license does not permit resale of the generated images as a standalone product.

5.3 Our Property

The Service, including its technology, algorithms, design, and all related intellectual property, remains the exclusive property of Studio10 and its licensors.

6. Payment and Refunds

6.1 Pricing

Prices are displayed at the time of purchase and are subject to change. All prices are in USD unless otherwise specified.

6.2 Payment Processing

Payments are processed securely through Stripe. We do not store your payment card details.

6.3 No Refund Policy

Due to the nature of AI-generated digital content, all sales are final and non-refundable. No refunds, credits, or exchanges will be issued for any purchase, including single headshots and headshot packs, regardless of whether you are satisfied with the generated results.

By completing a purchase, you acknowledge and agree that you have no right to a refund under any circumstances. You are encouraged to review the free watermarked preview of your generated headshot before making a purchase.

If you experience a technical issue that prevents delivery of your generated image, please contact us at support@studio10.ai and we will work to resolve the issue.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The generated images will be suitable for any particular purpose
  • Any defects in the Service will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIO10 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or goodwill
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from images you upload or generate
  • Any claims by third parties related to images you upload or generate

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Studio10 and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including consent, privacy, or intellectual property rights
  • Images you upload to the Service
  • Your use or distribution of generated images
  • Any claim that you uploaded images without proper consent

This indemnification obligation will survive termination of these Terms and your use of the Service.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

11. Termination

11.1 By You

You may stop using the Service at any time.

11.2 By Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 8, 9, and 11.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Florida.

12.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE ADJUDICATED ON AN INDIVIDUAL BASIS, AND YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Studio10 regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15. Image Removal and Takedown Requests

If you believe that your likeness has been uploaded to Studio10 without your consent, you may submit a removal request by emailing support@studio10.ai with:

  • Your full name
  • A description of the image(s) in question
  • Any identifying information (such as a generation URL or ID) if available
  • A statement that you did not consent to the upload

We will review and process valid removal requests within 48 hours. Upon verification, we will permanently delete the uploaded image, all generated images derived from it, and any associated biometric data from our systems and storage providers.

We reserve the right to suspend the account of any user found to have uploaded images without proper consent.
